Terms of Service

These Terms of Service ("Terms") govern your use of the VibePass Tickets platform at vibepasstickets.com (the "Service"), operated by VIBE PASS TICKETS ("VibePass," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

There are two kinds of users: Organizers, who create and sell tickets to events, and Buyers, who purchase tickets. Some sections apply to one group only — we've labeled those.

1. The Service

VibePass is a marketplace that lets Organizers list events and sell tickets, and lets Buyers discover events and buy tickets, with payment collected via M-Pesa, card (Paystack), or PayPal. VibePass is not the organizer of any event listed on the platform — each event is organized and hosted by the Organizer who created it, and VibePass is not a party to the relationship between an Organizer and their attendees beyond facilitating ticket sales.

2. Accounts

Organizer accounts

You may sign up with an email and password, or via Google, Facebook, or Apple sign-in. You're responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information when creating an account and when listing events.

We may suspend or ban an account that violates these Terms, engages in fraud, or misuses the platform (Section 8).

Buyer accounts

Most ticket purchases don't require creating an account — you check out with your name, email, and phone number as a guest. If you sign in as an Organizer with the same email, that account also lets you manage any events you organize.

3. Buying tickets (Buyers)

  • Prices are shown in the currency listed at checkout (typically Kenyan Shillings) and include any service fee disclosed before you pay.
  • Payment is processed by M-Pesa, Paystack, or PayPal, depending on the method you choose. VibePass does not store your card number or M-Pesa PIN.
  • Once payment is confirmed, your ticket (including a QR code used for check-in at the event) is emailed to you and available on the order confirmation page.
  • Tickets are tied to the event they were purchased for and are not transferable to a different event. Whether a ticket can be transferred to a different person is up to the Organizer.

4. Refunds and cancellations

Refund requests are handled by the Organizer of the event you purchased a ticket for. Refund eligibility for each event is determined by the Organizer and will be disclosed to Buyers before completion of a ticket purchase. An event may be designated as refundable, non-refundable, or refundable subject to specific conditions established by the Organizer.

Buyers who wish to request a refund must submit their request through VibePass using the available refund request process. VibePass will coordinate the request with the relevant Organizer and determine eligibility in accordance with the refund policy applicable to that event.

Where a refund is approved, VibePass will process the refund to the original payment method used for the purchase, subject to the applicable payment provider's processing requirements. The corresponding ticket will be cancelled and will no longer be valid for entry.

If an event is cancelled by the Organizer, the Organizer shall be responsible for the applicable refunds in accordance with the cancellation policy displayed for the event. VibePass may facilitate and process such refunds and may deduct refund amounts from funds otherwise payable to the Organizer.

Where VibePass has already paid ticket proceeds to the Organizer, the Organizer remains responsible for reimbursing VibePass for approved refunds, chargebacks, or other amounts arising from the Organizer's event.

  • If a refund is approved, it is issued back through the original payment method (M-Pesa, card, or PayPal) and the corresponding ticket(s) are voided.
  • VibePass is not responsible for an Organizer's failure to hold an event as advertised, beyond facilitating the refund process described above.

5. Organizer obligations

As an Organizer, you agree to:

  • Provide accurate, non-misleading information about your event (date, venue, pricing, age restrictions, and any other material details).
  • Actually hold the event as advertised, or handle cancellations and refunds in line with Section 4 and applicable consumer protection law.
  • Only sell tickets you have the legal right to sell, for events you're authorized to organize.
  • Comply with all applicable laws, including licensing, safety, and tax obligations for your event.
  • Pay VibePass's service fee, as shown to you when setting up your event and deducted from ticket sale proceeds before payout. VibePass charges a service fee of 5% of ticket sales. The applicable service fee will be disclosed to the Organizer before the event is published and will be deducted from ticket sale proceeds before payout.
  • Not use customer contact information obtained through VibePass (e.g. for SMS/email campaigns) for anything other than communicating about your own events, and to honor opt-out requests.

Payouts

Funds from ticket sales are payable to you via M-Pesa or bank transfer, to the payout account you configure, on the schedule and process VibePass provides. VibePass may deduct amounts owed to it (fees, chargebacks, refunds you're responsible for) before paying out.

For first-time Organizers, only 30% of payout is released 2 weeks before the event; the remainder follows VibePass's standard payout schedule.

6. Prohibited conduct

You may not use the Service to:

  • List or sell tickets to an event that doesn't exist, or that you're not authorized to sell tickets for.
  • Engage in fraud, money laundering, or any illegal activity.
  • Circumvent, disable, or interfere with the security or proper functioning of the Service.
  • Scrape, resell, or misuse data obtained through the Service.
  • Impersonate another person or organization, or misrepresent your affiliation with one.
  • Send unsolicited marketing messages to anyone who hasn't consented to receive them, or continue messaging someone who has opted out.

Violating this section may result in suspension or termination of your account, in addition to any other remedy available to us.

7. Fees and payments

VibePass's service fee is disclosed to Organizers when configuring an event and to Buyers before completing checkout. Fees are non-refundable except where a refund of the underlying ticket is issued. Payment processing fees charged by M-Pesa, Paystack, or PayPal are separate from and in addition to VibePass's own fee, where applicable.

8. Intellectual property

The VibePass name, logo, and platform (excluding content you or an Organizer upload, such as event descriptions and images) belong to VibePass. You retain ownership of content you upload, and grant VibePass a license to display it as part of operating the Service (e.g. showing your event listing and cover image to prospective Buyers).

9. Third-party services

The Service integrates with third-party providers — payment processors (M-Pesa/Safaricom, Paystack, PayPal), sign-in providers (Google, Facebook, Apple), and communication providers (Africa's Talking, Resend). Your use of those providers' services, when initiated through VibePass, may also be subject to their own terms. VibePass is not responsible for the availability or performance of third-party services.

10. Disclaimers and limitation of liability

The Service is provided "as is," without warranties of any kind, to the fullest extent permitted by law. VibePass does not guarantee that the Service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, VibePass is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to an Organizer's cancellation or mismanagement of an event, or a third-party payment processor's failure or delay. Our total liability for any claim relating to the Service is limited to the amount of fees you paid to VibePass in the 3 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited under Kenyan law (e.g. liability for fraud or gross negligence).

11. Indemnification

You agree to indemnify and hold VibePass harmless from any claim arising from your violation of these Terms, your event (if you're an Organizer), or your misuse of the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your account for violating these Terms, on notice where reasonably practicable.

Sections that by their nature should survive termination (e.g. payment obligations already incurred, limitation of liability) will survive.

13. Governing law and disputes

These Terms are governed by the laws of Kenya. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Kenya.

14. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date. Continuing to use the Service after a change takes effect means you accept the updated Terms.
